By accessing or using the Service, you (“the Customer”, “Organisation”, “User”) agree to be bound by these Terms.

1. Description of Service

Care Companion provides an all-in-one care management and compliance platform designed for children’s care providers. The platform facilitates the management of children’s care records, care plans, medical history, and an integrated HR and compliance portal for tracking staff recruitment, qualifications, and real-time compliance auditing.

2. Account Security, Responsibilities & Access

Organizations are responsible for configuring unique user accounts and login credentials. Any activity occurring under your organization’s accounts is your sole responsibility. Care Companion automatically aggregates and retains system access logs, user accounts, login history, and comprehensive, immutable audit trails tracking precisely who created, viewed, amended, or exported records to maintain care integrity and regulatory accountability.

3. Data Protection, Privacy & UK GDPR Compliance

As a platform processing both sensitive personal data and special category data under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, both parties acknowledge distinct legal roles:

  • The Customer (Your Organisation): Acts as the Data Controller for all child data and staff data inputted into the system. You guarantee you have the lawful basis to process this data.
  • Care Companion: Acts as the Data Processor. We process data strictly in accordance with your documented instructions.

Scope of Data Processed:

  • Children & Young People: Name, DOB, gender, address, emergency contacts/next of kin, NHS number, medical conditions/diagnoses, medication administration records, allergies, risk assessments, care plans, daily notes, and safeguarding records.
  • Staffing & HR: Name, DOB, contact information, contract details, right-to-work documentation, DBS (Disclosure and Barring Service) checks, qualifications, training records, professional registrations, payroll, and bank details.
  • System & Audit Data: User accounts, login credentials, login history, device information, audit trails showing who viewed or changed records, consent records, data export and reporting logs.

Care Companion implements rigorous administrative, physical, and technical safeguards to secure your records.

4. HR Portal & Compliance Disclaimer

Care Companion provides tools to support your organisation’s compliance framework. The ultimate legal responsibility for safer recruitment, maintaining active professional registrations, verifying valid DBS checks, and adhering to regulatory childcare and employment standards remains entirely with the Customer. Care Companion is an administrative aid and does not guarantee regulatory passing status or legal workforce compliance.

5. Fees, Billing, and Subscriptions

Subscriptions are billed on a recurring, periodic basis. Failure to resolve subscription fees may result in the temporary suspension of access to the platform and associated care records.

6. Intellectual Property

The Service, including its interface, original content, layout design, features, functionality, and proprietary software mechanics, are and will remain the exclusive property of Care Companion.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Care Companion be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation: loss of profits, data, or operational penalties incurred by your organisation relating to staff DBS checks, care records, or expired certifications. Our total liability shall not exceed the total amount paid by you to Care Companion in the preceding twelve (12) months.

8. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, if you breach these Terms. Upon termination, organizations will be given a designated window (typically 30 days) to securely export historical care plans, daily notes, and staff audit trails before data deletion protocols are initiated.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England.
